What is REPSE and when does it matter for software and IT services in Mexico?

REPSE is the Mexican labor authority's register for specialized service and works providers. For a technology buyer, the key question is how the service operates and whether the provider makes its own workers available to the customer. This is general information; labor counsel should classify the arrangement.

What the labor law distinguishes

Mexico's Federal Labor Law prohibits personnel subcontracting and permits specialized services subject to conditions, including that they are outside the customer's corporate purpose and predominant economic activity, and that registration applies when required. Deliverable-based software, SaaS and assigned teams

  • A SaaS subscription is not automatically an arrangement making personnel available.
  • A defined development project requires reviewing who directs the team, where work occurs and how services are performed.
  • A provider's staff working permanently or periodically at the customer's workplace can trigger the STPS analysis.

Neither the word outsourcing nor a software invoice settles the question. Document the actual operating model and ask labor counsel before assuming registration is or is not required.

How to check a provider when registration applies

  1. Describe the specialized work and align the contract with real delivery.
  2. Search the public STPS register by name, taxpayer ID or file number; check validity and authorized activities.
  3. Define deliverables, owners, access, workplace and approximate staffing where relevant.
  4. Retain verification evidence and review additional obligations with legal and tax advisers.

REPSE does not certify data protection

Labor registration does not prove a vendor protects customer or employee records. If data is involved, review LFPDPPP technical controls for software vendors and agree on access, incident response and exit terms.
